This Freelancer/Consultant Registration Agreement (the "Agreement") is made between Benchkart Services Private Limited (CIN: U74999HR2019PTC083708), having its Registered Office at DW-254, Nirvana Country, South City-II, Gurgaon-122018 (referred to as "Company") and the individual freelancer/consultant (referred to as "Freelancer/Consultant").

Services:

Freelancer/Consultant agrees to provide their professional services as an independent contractor to clients of the Company. The services may include software development, programming, design, consulting, and related tasks.

Relationship:

Freelancer/Consultant acknowledges and agrees that they are an independent contractor and not an employee of the Company. This Agreement does not create any employer-employee relationship between the parties.

Eligibility:

Freelancer/Consultant represents and warrants that they are legally eligible to work as a freelancer/consultant in their jurisdiction and have the necessary skills and expertise to perform the services.

Confidentiality:

Freelancer/Consultant shall maintain the confidentiality of any confidential information obtained during the course of providing the services and shall not disclose or use such information for any purpose other than the performance of the services.

Compensation:

Freelancer/Consultant shall be compensated based on the agreed-upon rates and payment terms for each project or assignment they undertake. The details of compensation shall be mutually agreed upon between Freelancer/Consultant and the Company on a project-by-project basis.

Intellectual Property:

Freelancer/Consultant acknowledges and agrees that any intellectual property created or developed by them during the course of providing the services shall belong to the Company or its clients, as applicable.

Liability:

Freelancer/Consultant acknowledges and agrees that registering on the Company's website does not create any obligation on the Company to award work or projects to the Freelancer/Consultant. The Company reserves the right to select freelancers/consultants for projects at its sole discretion.

Indemnification:

Freelancer/Consultant shall indemnify and hold the Company harmless from any claims, liabilities, losses, or expenses arising out of or in connection with the Freelancer/Consultant's registration on the Company's platform or the services provided by the Freelancer/Consultant.

Termination:

Either party may terminate this Agreement at any time with or without cause by providing written notice to the other party. Upon termination, Freelancer/Consultant shall complete any ongoing projects and return any Company property or confidential information.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Haryana.

By registering as a freelancer/consultant with Benchkart Services Private Limited, Freelancer/Consultant acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
